About Course

This two-hour continuing education course provides tax professionals with a practical understanding of the federal tax rules governing organizations exempt from income tax under IRC §501(c)(3). The course is designed for enrolled agents and other tax return preparers who advise nonprofit organizations, serve on nonprofit boards, or prepare annual information returns for exempt organization clients.

Participants examine the organizational and operational tests for exemption under IRC §501(c)(3) and the Form 1023 and Form 1023-EZ application process. The course provides detailed coverage of the Form 990 series annual information returns, including filing thresholds, required schedules, and public disclosure obligations. Students also study Unrelated Business Income Tax (UBIT) under IRC §§511-514 and Form 990-T, along with private inurement, excess benefit transactions, and the intermediate sanctions regime under IRC §4958. The course concludes with practitioner strategy and Circular 230 obligations when advising tax-exempt organization clients.

Module 1 – Qualifying for Tax-Exempt Status — IRC §501(c)(3) and the Exemption Application
This module establishes the exemption-qualification foundation for the entire course: the organizational and operational tests under IRC §501(c)(3), the public charity vs. private foundation distinction under IRC §509(a), and the Form 1023 / Form 1023-EZ application process. Participants also study the 27-month retroactive exemption window and the absolute prohibition on political campaign intervention.

  • Qualifying for Tax-Exempt Status — IRC §501(c)(3) and the Exemption Application

Module 2 – Form 990 Compliance: Filing Requirements, Schedules, Public Disclosure, and Governance
Building on the exemption framework, this module covers the annual Form 990 series filing obligations that keep an organization's exempt status in good standing — filing thresholds across Form 990-N, 990-EZ, 990, and 990-PF, core schedules, public disclosure requirements under IRC §6104, and the consequences of automatic revocation for three consecutive years of non-filing.

Module 3 – Unrelated Business Income Tax (UBIT) — IRC §§511-514 and Form 990-T
This module turns to Unrelated Business Income Tax under IRC §§511-514 — the three-part test for an unrelated trade or business, statutory exclusions and modifications, debt-financed income rules, and Form 990-T filing and siloing requirements. Participants learn to spot the UBTI traps that most frequently catch nonprofit clients by surprise.

Module 4 – Private Inurement, Excess Benefit Transactions, IRS Enforcement, and Practitioner Compliance
The final module addresses private inurement, private benefit, and the IRC §4958 intermediate sanctions regime for excess benefit transactions, including disqualified persons, the two-tier excise tax structure, and the rebuttable presumption of reasonableness for compensation. The module closes with Circular 230 due diligence obligations specific to tax-exempt organization engagements.
